The Lead Contracts Consultant - Americaswill serve as the Legal and Compliance (L&C) primary point of contact for sales activities for assigned customers, including supporting the Business Unit (BU) Sales personnel with customer contracting strategies at the offer development stage, during customer contract negotiations, and other day-to-day contract advisement.The Lead Contracts Consultant shall act as a subject matter expert in applying Westinghouse contract terms and conditions principles to new and complex market applications. Regular communication / presentation of contract positions with senior leadership is required.

This role will primarily support the LTO & OMS BU's but shall also assist with contracting support to other BU sales segments, as requested.

Your Day to Day:



  1. Know, understand, and practice the standards and related policies contained in Westinghouse "Codes of Business Ethics & Conduct."
  2. Analyze complex to highly complex and unique customer contracting requirements to assess commercial, legal and technical risks (e.g., warranty, delivery/risk of loss, payment terms), and develop commercial measures and strategies that appropriately balance business risks and rewards for complex global business initiatives consistent with Westinghouse Legal & Compliance requirements. Develop and implement intellectual property and proprietary information provisions to maximize Westinghouse value in the global marketplace. Lead or support customer negotiations of contract terms and conditions. Close collaboration is required within the Legal & Compliance team and with our BU business partners.
  3. As part of the customer contract analyses activities, complete the Contract Review Evaluation Tool (CRET), and Risk Assessment Worksheets on behalf of Legal, and assist BU partners with developing appropriate risk mitigation responses. Assist BU Sales leads with presentations to executive management for obtaining approvals for recommended contract positions, including deviations from Westinghouse Baseline contracting principles, under the company Limits of Authority (LOA) process.
  4. Support preparation and negotiation of complementary agreements including NDAs, licensing agreements, teaming agreements, and commercial settlement agreements, and assist GSCS personnel with identification and assessment of customer flowdown requirements in supplier contracts.
  5. Perform final reviews of contract documents to support the order acceptance process and advise on identified concerns, including required additional approvals.
  6. Advise on authorized personnel to sign contract documents on behalf of the applicable Westinghouse company entity and assist with preparation of powers of attorney documents when needed.
  7. Support the order turnover / contract handover process; prepare contract summary documents / job aids, as required, for major contracts, including master services agreements, to support BU commercial and project personnel with risk assessments and contract administration activities throughout the contract lifecycle.
  8. Support resolution of emerging contract issues identified during project execution. Coordinate resolution within Legal & Compliance, BUs and other stakeholder groups.
  9. Develop a high degree of expertise in commercial, legal and global business practices and L&C policies. Mentor and train less experienced personnel within L&C and the BU's. Collect and analyze contract trends with customers and competitors and lessons learned and provide ongoing feedback to Legal & Compliance leads for applicable policies and processes.
  10. Perform additional duties as assigned.
  11. This position involves up to 20% travel to support BU contract negotiations.



Who You Are:



  1. No specific licenses are required; however, contract management or project management certifications, JD or MBA can substitute for part of the work experience requirement.
  2. 5+ years' experience in contract analysis, contract management, particularly with terms and conditions (T&C)+, project / risk management, engineering and / or commercial sales disciplines. Proven ability to lead teams across business functional areas.



  • In-depth knowledge of commercial practices, risk assessment and mitigation principles, contracting structures and legal/contract terms and conditions, along with corporate/ legal & compliance policies and directives plus demonstrated expertise in the following key areas: sales contracts, non-disclosure/proprietary information agreements, technology licensing, teaming agreements, global business agreements and practices, quantitative and qualitative business concepts, and project / contract management. In-depth knowledge and understanding of Westinghouse technical products/services and the nuclear industry.
