SUMMARY OF DUTIES:

The Deputy General Counsel position is a critical strategic and oversight/management role in the Law Department, responsible for (i) advising and supporting Law Department executive staff (EVP, Chief Legal Officer & General Counsel and VP Sr. Managing Deputy General Counsel) in executing the Law Department's functions, organization and structure, policies, procedures and priorities, (ii) leading a practice area team of attorneys in the execution of transactions, the representation of the Company in negotiations and administrative proceedings, and the support of active judicial, regulatory and other proceedings, and (iii) counseling senior Management with respect to Amtrak's transactions, policies and procedures as well as significant and specialized legal rights, obligations and other interests under the Constitution and numerous federal statutes, rules and regulations.

ESSENTIAL FUNCTIONS:



  1. Exercises experienced, mature, confident and appropriate strategic and tactical legal judgment independently.
  2. Develops positive working relationships and communication within the Law Department and with internal clients and colleagues in other departments across the Company.
  3. Leads, manages and provides oversight of inhouse attorneys, outside counsel, and paraprofessional and other support staff in the efficient and productive delivery of legal services.
  4. Provides thought leadership on the subject matters and the practice areas in which the team provides legal services, including, procurement, federal and state government grants, marketing, advertising, branding, social media, information and digital technology, cybersecurity, privacy, and intellectual property (trademarks and patents).
  5. Advises internal business leaders and advocates externally on behalf of the company on issues such as federal regulations regarding procurement, domestic preference requirements, grant funding, consumer and health care privacy, and trademark infringement.
  6. Negotiates scope of engagements, legal fees, and budgets with outside counsel to maximize inhouse resources and to provide the Company the most appropriate, efficient, and productive legal team.
  7. Operates within budget and maintains cost controls to utilize Amtrak resources effectively and productively.
  8. Represents the Company in matters which involve or could involve counter or adverse party negotiations and/or adversary proceedings before federal and state courts, administrative agencies, and arbitration tribunals. This representation requires the clear, organized, and persuasive articulation, both in legal documents and in oral proceedings, of Amtrak's positions and arguments of supportive factual materials, without substantive or procedural errors, and within deadlines, to best position Amtrak and/or interests to prevail.
  9. Supervises the efforts of outside counsel retained to represent Amtrak in adversary proceedings or for advice, in order to ensure that such representation is effective and cost-efficient.
  10. Advises Law's senior leaders and executives in other departments with respect to legal, compliance and liability considerations in a variety of matters to assist Amtrak in making business decisions with full knowledge of applicable legal and ethical considerations.
  11. Mentors less experienced attorneys and other staff on aspects of legal professionalism, substantive areas of expertise and ethical conduct.
  12. Develops and conducts communications including training to inform Amtrak employees on topics within the attorney's area of expertise, to ensure that they will perform consistent with legal requirements.



MINIMUM QUALIFICATIONS:

The successful candidate for this position must have:



  • Juris Doctor from accredited law school and current membership in good standing in a state bar.
  • At least 12 years legal experience either with a law firm or as senior government or in-house counsel with leadership, oversight, staff and matter management responsibility
  • Ability to manage and direct exceptionally complex and significant matters as assigned by the Law Department executive staff.
  • Experience managing and/or litigating large, complex matters that involve significant risk and reward for the corporation.
  • Experience advising the most senior levels of management on legal strategies that are consistent with the company's strategic initiatives.

  • At least 15 years' experience relating to the position summary

COMMUNICATIONS AND INTERPERSONAL SKILLS:

Must have excellent oral and written communication skills.

The salary/hourly range is $187,500-$242,892, Pay is based on several factors including but not limited to education, work experience, certifications, internal equity, etc. Depending on an employee's assigned worksite or location, Amtrak may consider a geo-pay differential to be applied to the employee's base salary. Amtrak may offer additional incentive and pay programs to recognize and reward our employees, including a short-term incentive bonus based upon factors such as individual and company performance that is commensurate with the level of the position and/or long-term incentive plan compensation.
