Position Summary

The Compliance Manager - Western Hemisphere will report to the Chief Compliance Officer within the Company's Legal function. The primary responsibilities of this position are to support the compliance of employees and representatives of the Company with company values, policies, requirements, standards and procedures and the Company's Code of Conduct. A key focus of the role is ensuring adherence to the Company's anti-bribery and anti-corruption ("ABC") compliance requirements.

LOCATION:

Role provides the opportunity to work in a hybrid environment, working both virtually and in office when required.


Duties And Responsibilities

ESSENTIAL:

Assist the Chief Compliance Officer in connection with:

  • Developing, implementing and monitoring the Company's Compliance Program.
  • Developing, implementing and monitoring the Sustainability/ESG Program.
  • Reporting on a regular basis on progress of program implementation and with establishing improvement plans.
  • Compliance training and monitoring plans, including with respect to establishing priorities, executing timelines and identifying appropriate resources.
  • ABC and other compliance and/or business risk assessments and developing responsive mitigation strategies including anti-bribery, trade, Sustainability/ESG, and third-party risks compliance-related due diligence in acquisition and JV projects for the Company, as well as diligence of third parties supporting day-to-day operations and other Company requirements.
  • Supporting ABC efforts in mergers and acquisitions, including conducting pre-acquisition due diligence and supporting post-acquisition ABC audits.
  • Drafting compliance policies and procedures in alignment with evolving regulatory requirements.
  • Functional support of the Commercial and Contracts teams in the review and analysis of customer business ethics policies and completion of customers' compliance questionnaires and declarations as part of the bid process or vendor qualification process.
  • Advising on compliance-related contract language, including anti-corruption, trade compliance, and Sustainabilty/ESG clauses, to ensure alignment with company policies and regulatory requirement.
  • Support trade compliance and drive trade risk mitigation efforts, including sanctions screening, export controls, end-use and end-user due diligence, restricted party screening, supplier screening, and banking activity monitoring across global operations, in close coordination with trade and commercial teams.
  • Periodic internal reviews or audits to assess awareness of and adherence to the Company's compliance procedures
  • Internal investigations of compliance issues.
  • Documenting compliance activities, such as complaints received and investigation outcomes, in accordance with the Company's records-retention policy and procedures.
  • Monitoring regulatory developments and assessing their impact on the Company's compliance obligations.
  • Training of employees, representatives and external business counter-parties on compliance-related topics, policies and procedures.
  • Awareness of the internal reporting "hot line" management of internal reporting and record-keeping systems for compliance-related matters, such as the corporate compliance hotline and matter-management system.
  • Working collaboratively with the Company's legal counsel and other stakeholders in executing all responsibilities and in supporting and advancing compliance.
  • Supporting implementation and optimization of compliance technology platforms and data analytics tools.
  • Maintaining compliance metrics and dashboards to monitor program effectiveness and support executive reporting.
  • Promoting a culture of integrity and ethical behavior across the organization.

Qualifications

REQUIRED:

  • Bachelor's degree or equivalent education and experience.
  • Minimum of 8 years of experience and /or training; or equivalent combination of education and experience in the areas of compliance programs, law, auditing and accounting.

DESIRED:

  • Preferred: Juris Doctor (JD) or equivalent legal degree.

Additional Information

This position is Hybrid - Remote and will require commuting to a designated office. Hybrid work schedules are determined by the hiring manager based on business need.
