Job Details

The Legal Specialist II performs a variety of legal services and project management services on corporate, contract, commercial, litigation and intellectual matters that are handled by the Legal Department. The Legal Specialist II must have sufficient experience and ability to function as an independent professional.

Primary Duties and Responsibilities:

Corporate:

  • Serving as corporate secretary for one or more business units of Cencora; drafting resolutions; organizing and maintaining corporate minute books for many business units;
  • Handling other formalities for business units of Cencora; working with Treasury Department on guarantee issues and other issues arising under Cencora Senior Credit Facility and Bond Indenture from acquisition or divestiture of business units; working with Tax Department on tax planning initiatives involving Cencora business units;
  • Preparing or assisting in preparation of SEC filings, including proxy statements, 1934 Act reports and 1933 Act registration statements; preparing certificates and otherwise handling matters required to complete and close corporate acquisitions, divestitures, financings and other transactions.

Contract and Commercial:

  • Generating initial contracts from Legal Department forms for business clients and some communications with the business clients about the same;
  • Providing project management assistance in connection with commercial contracting process; preparing standard contract revisions.

Litigation :

  • Initiating investigations in order to respond to subpoenas including associate interviews, the collection and review of documents, electronic correspondence and data to prepare response;
  • Acting as liaison to the IT organization submitting data requirement elements and overseeing the production of the electronic data extracts responsive to discovery requests and subpoenas;
  • Interacting with outside counsel who have issued subpoenas, negotiating to limit the scope of requests and overseeing responses to requests;
  • Communicating with outside counsel and acting as liaison between outside counsel and the company's associates in order to provide information needed in the development of case strategies, responses to discovery requests, production of witnesses for deposition and the production of relevant documents and data;
  • Monitoring bankruptcy and collections matters including search of government maintained electronic databases, notifying the Regional Directors of Credit, insuring the accurate filing of proofs of claim, drafting and following up on demand letters sent on behalf of the various collections organizations within the company.

Intellectual Property :

  • Fielding requests for new trademarks and working with outside intellectual property counsel to register trademarks;
  • Maintaining the Company's intellectual property portfolio, or working with outside intellectual property counsel on same.

Experience and Educational Requirements:

  • Requires good research experience, writing, communication and computer skills; Normally requires a minimum of five (5) or more years of progressively responsible and directly related experience.
  • Experience in a large law firm or the legal department or contract administration group of a public company is desirable.

*This Salary Range reflects a National Average for this job. The actual range may vary based on your locale. Ranges in Colorado/California/Washington/New York/Hawaii/Vermont/Minnesota/Massachusetts/Illinois State-specific locations may be up to 10% lower than the minimum salary range, and 12% higher than the maximum salary range.
