Make your mark at the world's largest HVAC company The Senior M&A Paralegal is responsible for supporting all aspects of the company's domestic and international mergers and acquisitions activities, from initial deal evaluation to post-closing integration. This role will also manage corporate governance documentation, draft board and shareholder resolutions, and oversee the review and execution of non-disclosure agreements related to M&A projects. The successful candidate must possess organizational and communication skills to collaborate effectively with all levels of the organization, outside counsel, and counterparties. The role requires a highly detail-oriented, process-driven professional who thrives in a fast-paced environment and can balance multiple complex transactions while maintaining the highest standards of accuracy and confidentiality. Location: Hybrid, Plymouth, MN or Remote What you will do:
- Coordinating and managing all aspects of domestic and international M&A transactions, including due diligence, data room organization, and closing documentation.
- Overseeing the preparation, negotiation, and execution of non-disclosure agreements related to M&A opportunities, ensuring compliance with corporate policy.
- Tracking key transaction timelines, deliverables, and post-closing obligations, and ensuring all deadlines are met.
- Assisting with regulatory and compliance filings related to corporate transactions.
- Coordinating signatures, notarization, and proper recordkeeping of all deal-related documentation.
- Serving as liaison between internal business teams, outside counsel, and counterparties to ensure smooth information flow during transactions.
- Assisting with post-closing integration activities and supporting cross-functional teams in harmonizing operational and compliance processes.
- Drafting, reviewing, and managing corporate governance documents, including board and shareholder resolutions, written consents, and meeting minutes.
- Preparing and maintaining entity records, corporate charters, bylaws, and other foundational governance materials for subsidiaries and affiliates.

Minimum Qualifications:
- Bachelor's degree and/or Paralegal Certificate from an accredited institution.
- 7+ years of M&A paralegal experience in a law firm or in-house legal department.
- Demonstrated experience managing M&A transactions from due diligence through closing and post-closing integration.
- Strong drafting skills for resolutions, consents, and corporate governance documents.
- Experience managing NDAs and other preliminary transaction documents.
- Exceptional organizational skills, with the ability to manage multiple deals simultaneously under tight deadlines.
- High level of integrity, discretion, and professionalism.

The typical hourly pay rate for this position ranges from $35.24 to $56.35 in MN. The range displayed represents the pay range for all positions in the job grade which this position falls. Individual base pay will depend on a wide range of factors including your skills, qualifications, experience, and location.
