Position Summary:
As a Legal Contracts Manager you will oversee the full contract lifecycle, ensuring agreements are compliant, commercially sound, and aligned with organizational objectives. Acting as a strategic partner across the business, you will provide expert guidance on legal aspects of contract negotiation and contractual risk management. You will provide legal support to our sales team and will assist in the negotiation of variety of commercial customer-facing agreements. This is a highly autonomous role, and you will be empowered to make decisions regarding contract positions in accordance with the guidance and policies, and in consultation with General Counsel.

Operate with the highest standards of judgment and ethical leadership to deliver solutions that serve our clients, manage risk thoughtfully, and contribute to overall enterprise success.

Key Responsibilities:

  • Redline and negotiate commercial client-facing agreements.
  • Review, revise, and approve contracts and amendments prepared by Senior Contract Specialist.
  • Ensure compliance with legal, regulatory, and company policy requirements.
  • Identify and mitigate contractual risks while maximizing business opportunities.
  • Modify and develop contract and amendment templates.
  • Create custom contract language.
  • Draft complex amendments and addenda.
  • Assist in creating and maintaining contracts playbook, clause library, and standard operating procedures.
  • Collaborate closely with cross-functional teams, including Triumph's leadership, operations, and finance, to ensure contracts meet business and legal requirements.
  • Provide expert contract guidance and strategic input to stakeholders, leveraging knowledge of contract law and negotiation strategy.
  • Build and maintain strong relationships with internal and external stakeholders, fostering collaboration and client satisfaction.
  • Ensure Triumph contracting engagements are conducted with the highest ethical standards.
  • Perform other duties, as assigned.

Experience and Education:

  • Bachelor's degree required. Juris Doctor preferred.
  • 5+ years of experience drafting, redlining, and negotiating complex commercial contracts and amendments.
  • 3+ years of experience supporting sales or commercial contracts in a corporate, financial services, or SaaS environment.
  • Experience in Payments, Software-as-a-Service or Transportation industries is a plus.

Skills and Abilities Required:

The successful candidate will possess strong business acumen, analytical and critical thinking skills and experience. Additionally, the ideal candidate should possess the following:

  • Strong knowledge of contract law, commercial terms, and negotiation strategies.
  • Advanced contract redlining skills.
  • Exceptional communication, analytical, and problem-solving skills.
  • Strong drafting skills, with the ability to turn a complex commercial concept into contractual language.
  • Experience in fast paced corporate environment. Able to function and perform at a high level with ambiguity in some cases.
  • Self-starter, flexible mindset, and able to juggle multiple priorities.
  • Ability to solve problems through effective use of language, identify and apply riskmitigating terminology.
  • Willingness to be flexible and take on additional projects in addition to core responsibilities.
  • Excellent written, oral and presentation skills and an ability to synthesize information and make clear, concise recommendations on course of action.
  • Strong interpersonal skills with the ability to effectively work with all levels of company management, internal customers and stakeholders, and external customers.
  • Demonstrate initiative and be able to work independently and as part of the team.
  • Strong work ethics and organizational skills.
  • Must be proficient in Microsoft Word and Excel.
  • Proficiency in DocuSign CLM is a plus.
  • Ability to handle multiple tasks while maintaining attention to detail.
