Description
As Corporate Counsel / Principal Analyst, you will interact daily with internal business clients and engage with them using your interpersonal, analytical and problem-solving skills in a variety of capacities overseeing and resolving litigation and claims, driving strategic projects, and/or ensuring legal compliance, all with a focus on risk mitigation. Detailed Description:
- Partner with internal business clients and engage them collaboratively using interpersonal, analytical, and problem-solving skills to evaluate risks, develop mitigation strategies, and contribute to the implementation of those strategies.
- Maintain close working relationships with applicable leadership team, sales and delivery managers, other members of the legal department, as well as other internal core services groups necessary to achieve comprehensive review and risk assessment (cybersecurity, tax, insurance, etc.).
- Coordinate internal teams, outside attorneys, and consultants to maximize the effectiveness and efficiency of legal functions.
- Provide guidance, training, and mentorship to junior employees, enhancing their capabilities and contributing to talent development.
- Facilitate and assist in advising executives on the legal implications of operational decisions and complex business transactions.
- Coordinate and collaborate with Digital Services/Cyber Security to identify sources of project data and facilitate and develop a comprehensive data collection strategy, including working with third party consultants.
- Facilitate and support corporate governance efforts.
- Facilitate and assist compliance with corporate formalities and professional licensing efforts including educational efforts.
- Advise on issues that arise as to local and international professional licensing requirements.
- Support the implementation of litigation-based strategies and resolutions through legal research, analysis, and perspective including review and evaluation of contracts, general conditions, and other documents that inform, or guide responsibilities.
- Flexibility to adapt and execute various additional assignments based on evolving needs
- Prioritize between multiple projects on a time-sensitive basis.
- Provide feedback and evaluation as part of a team based on contract experience to assist in the development of company expectations for contracts.
- Assist in the support of negotiations of project risks or complications based on legal considerations, business considerations, and project team and executive evaluation and input.
- Support as part of a team the resolution of disputes in a timely and cost-effective manner to reduce risk and impact, including review of project documentation and contracts.
- Facilitate and participate in efforts to respond to external document requests and subpoenas including identification of persons having relevant information, notification and hold notices to appropriate parties, working with Digital Services as to electronic records, and working with or as part of eDiscovery team.
- Help review legal pleadings and discovery in litigation matters and participate as part of a team working with outside counsel consistent with current risk strategy and practices.
- Support mediations, arbitrations, trials, and other dispute resolution processes, including evaluation of specific information, being part of a team providing or discussing recommendations, and coordination with other internal and external involved parties.
- Conduct directed legal and compliance research as requested.
Desired Skills and Experience:
- A minimum of 10 years working in a law firm or in an in-house legal department as a contracts manager or legal counsel required.
- A Juris Doctor degree from an accredited law school, and U.S. Bar Admission in good standing, is required.
- Substantial and detailed knowledge and experience with design projects, construction projects, Construction Manager at Risk (CMAR) projects, design-build projects, and standard contract forms (such as DBIA and EJCDC) is required.
- Substantial knowledge and experience with federal contracting requirements (i.e., FARs and related requirements) is required.
- Advanced competency in role-specific skills such as legal research, analysis, contract management, and strategic planning.
- Strong leadership ability, capable of guiding and collaborating in a positive manner with teams and individuals across various levels.
- Collaborative team player with strong interpersonal, organization, analytical, and communication (oral and written) skills.
- Excellent problem-solving capabilities, able to solve moderately complex problems and make informed decisions.
- In-depth understanding and proficiency in legal compliance, risk assessment and mitigation.
- Good understanding of legal concepts (for example, liability, insurance, indemnification, insurance, acceptance, warranties, software licensing, intellectual property rights, etc.).
- Senior level experience negotiating contracts with a pragmatic, flexible negotiation style based on sound business acumen.
- Proficiency with Microsoft Office Suite and Teams, and other contracts management technology
- Collaborative team player with strong interpersonal, organizational, analytical, and communication (oral and written) skills
- Exceptional business ethics, influence, and leadership skills.
Salary Range:The hourly pay range for this position is based on the employee's primary work location and maybemore or lessdependingupon skills, experience,and education. These ranges may be modified in the future.
