Job Description




Allied Universal is hiring a Vice President, Corporate Counsel - Contracts. The Vice President, Corporate Counsel - Contracts is a vital part the Legal Services Group and various lines of business within the organization. The Vice President will manage and oversee a team of legal professionals and be part of a collaborative legal department. This role will sit in either Conshohocken, PA or Atlanta, GA.

RESPONSIBILITIES:

    Effectively lead and develop team members, as well as balance and successfully execute and complete individual matters
  • Draft, review, interpret, and negotiate customer contracts, requests for proposals, subcontractor and vendor agreements, Non-Disclosure Agreements (NDAs), and other legal documents
  • Participate in and/or lead contract negotiations with customers, subcontractors, and vendors
  • Review, develop, and enhance Allied Universal contract templates, approval matrices, playbooks, and other aspects of contract lifecycle management from initial request through execution, renewal and closeout
  • Develop, implement and maintain policies, procedures and protocols to enhance the effectiveness, efficiency and consistency of executing commercial transactions, customer, subcontractor and vendor agreements across the enterprise
  • Provide ongoing advice and counseling to the business, supporting informed decision-making and alignment with strategic initiatives
  • Develop executive summaries of contract negotiations for senior and executive level management to ensure their awareness, appreciation, and approval of contractual risk and non-standard contract terms
  • Independently develop and drive large-scale projects, such as policy rollouts, stakeholder communication and engagement, adoption and integration of contract management technology
  • Analyze contract performance and monitor key metrics to Identify opportunities for process improvement and advocate for best practices
  • Identify potential areas of vulnerability and risk; develop recommendations and implement action plans for resolution of problematic issues; and provide general guidance on how to avoid or proactively address such situations
  • Develop strategic response protocols and solutions for managing complex client issues and contractual requirements, including those involving regulatory and privacy requirements ensuring effective risk management and regulatory compliance
  • Provide training to Internal teams on the fundamentals of contract compliance, risk allocation and risk management, and regulatory issues
  • Perform other transactional, legal, and regulatory duties as needed, including supporting the organization's merger and acquisition goals

QUALIFICATIONS (MUST HAVE):

  • Law degree from an accredited law school
  • Minimum of eight (8) years of experience as a transactional lawyer in a large corporate law firm
  • Minimum of three (3) years of in-house legal experience
  • Proven record of independent oversight of major large-scale corporate/cross-functional projects
  • Experience in federal, state and local government contracting and international transactions
  • Ability to support business leaders on international contracting and manage/create efficient contract and compliance processes using available technology
  • Ability to communicate, interface, influence, and drive deliverables with many diverse groups, including all levels of employees, in-house legal counsel, external legal counsel, customers, regulatory officials, consultants and vendors
  • Previous success conceptualizing, communicating, planning, influencing, implementing, and managing numerous project initiatives at one time
  • Strong organizational and analytical drafting skills, including attention to detail and a self- driven problem-solving mindset
  • Ability to demonstrate integrity and a strong work ethic, and maintain a high level of discretion
  • Ability to drive deliverables and influence both internal and external customers in a team setting

PREFERRED QUALIFICATIONS (NICE TO HAVE):

  • Strong background in licensing, data privacy, and data security
  • Experience using artificial intelligence for contract reviews
