Job Title: Assistant Company Secretary

Division: Finance

Key Relationships: Beazley Board Directors (North American Subsidiaries), North American Management Committee, North American Leadership Committee, Compliance, Finance, Risk Management.

Job Summary: To support the Corporate Governance team in running an effective and efficient administrative and secretarial function for the Beazley group.

Key Duties and Responsibilities:

Company Secretarial

  • Own the process for managing statutory books and records of various Beazley companies held within Kube
  • Organise Board and Committee meetings as instructed including scheduling dates and logistics
  • Coordinate the production of Board and Committee packs on Board Intelligence in accordance with the agreed timelines, including the drafting of agendas, paper requests and meeting minutes
  • Maintain the Board and Committee agenda plans
  • Manage the Board and Committee action logs on a timely basis
  • Ensure Board and Committee minute books are complete and up to date
  • Support the Group Company Secretary and other members of the team as directed
  • Manage ad hoc tasks/projects as requested by the Group and Deputy Company Secretary
  • Arrange for the preparation and execution of Board resolutions and other corporate documents, and where required arranging for such documents to be notarised and/or apostilled
  • Build relationships and act as trusted adviser for the organisation's business functions
  • Promote and support the embedding of organisational governance processes, policies and procedures

This may include, amongst others, Beazley's underwriting control standards, Beazley's claims control standards, other Beazley standards and customer relationship management.
  • Carry out additional responsibilities as individually notified, either through your objectives or through the learning management system. These may include membership of any Beazley committees or working groups.

Personal Specification:

Education and Qualifications

  • Chartered secretarial qualification (either full or part qualified)

Skills and Abilities

  • Ability to work at both detailed and summary level, and able to exercise judgement
  • Excellent attention to detail
  • Able to communicate effectively with others, both verbally and in writing, ability to be able to listen
  • Ability to be adaptable to changing circumstances
  • Able to manage uneven workload and respond quickly to ad hoc queries from the business
  • Strong organisational skills
  • Able to self manage

Knowledge and Experience

  • Experience with interacting at an Executive level
  • Experience with production of Board and Committee packs
  • Experience with calendar and meeting management
  • Experience with subsidiary entity management

Salary for this role will be tailored to the successful individual's location and experience. The expected compensation range for this position is $100,000-$118,000 per year plus discretionary annual bonus.
