The Contracts Counsel focuses on contract review, redlining, and negotiation for products and services supporting carriers, freight brokers, and shippers. The successful candidate will support the business by enabling efficient, consistent execution of customer and partner agreements tied to transportation payments, settlement workflows, SaaS platforms, and network participation, while appropriately managing legal and regulatory risk.

The Counsel will work closely with Sales, Commercial Operations, Product, Risk, Compliance, and Finance teams to accelerate deal velocity, standardize contract positions, and scale contracting processes across the carrier-broker-shipper ecosystem.

Essential Duties & Responsibilities

  • Review, redline, and negotiate commercial contracts related to carrier payment networks and broker settlement platforms, including:
    • Carrier, broker, and shipper customer agreements
    • Network participation and platform terms
    • SaaS and services agreements
    • Data processing and data sharing agreements
    • NDAs and ancillary commercial agreements
  • Partner closely with Sales and Commercial teams to support active negotiations by:
    • Identifying and explaining legal risk
    • Negotiating agreements using provisions aligned with company standards
    • Balancing risk management with deal velocity and customer experience
  • Apply and help evolve standard templates and a transportationspecific contract playbook to drive consistency and efficiency across carrier, broker, and shipper agreements.
  • Identify recurring redline themes and counterparty positions and proactively recommend improvements to templates, playbooks, and negotiation strategies.
  • Collaborate with Risk, Compliance, and Bank partners on contract provisions that implicate payments, money movement, data security, onboarding, or regulatory considerations.
  • Support contract process improvements, including workflow optimization, intake triage, and negotiation standardization.
  • Maintain strong institutional knowledge of the company's transportation payment and settlement models to ensure contracts accurately reflect operational reality.
  • Perform other jobrelated duties as assigned.

Experience & Education

  • Juris Doctor (JD) from an ABAaccredited law school.
  • Valid and active law license issued by a state bar (including any U.S. territory or the District of Columbia).
  • Minimum of 3 years of experience as a practicing attorney.
  • Demonstrated strength in commercial contract review, redlining, and negotiation, preferably in a highvolume environment.
  • Experience supporting sales or commercial teams in a fastpaced setting strongly preferred.
  • Strong drafting, analytical, and issuespotting skills with excellent attention to detail.
  • Ability to clearly communicate legal risk and contract positions to nonlegal stakeholders.
  • Experience with transportation, logistics, carrier payments, broker settlement platforms, fintech, SaaS, or financial services strongly preferred.

Skills & Abilities Required

  • Executionoriented mindset with the ability to manage multiple contract reviews simultaneously.
  • Advanced redlining and negotiation skills, including comfort proposing alternative language and explaining rationale.
  • Strong understanding of commercial risk allocation and contract mechanics.
  • Comfort operating in a deadlinedriven, dealsupport role focused on speed and consistency.
  • Ability to analyze contract issues related to payments, settlement, and data use and translate them into clear, actionable guidance.
  • Strong organizational and timemanagement skills.
  • Proven ability to collaborate effectively with Sales, Product, Risk, Compliance, and Operations teams.
  • Professional, solutionsoriented approach with a strong customerservice mindset.
  • Ability to foster a cooperative and efficient working environment.
